Terms of Service

1. Acceptance of Terms
By accessing or using the Pulse platform, you agree to be bound by these Terms of Service. If you are using Pulse on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.
2. Account Registration
You must provide accurate, complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately of any unauthorised access.
3. Permitted Use
You may use Pulse solely for lawful internal human resources management purposes. You may not resell, sublicense, or make the platform available to third parties, reverse engineer the software, or use it to store data unrelated to HR operations.
4. Data Ownership
You retain all ownership rights to your data. Pulse does not claim any intellectual property rights over the employee data, documents, or content you add to the platform. We process your data solely to provide the service.
5. Service Availability
We target 99.9% uptime for Growth plans and 99.99% for Enterprise plans. Scheduled maintenance windows are communicated 48 hours in advance. We are not liable for downtime caused by force majeure, third-party service failures, or your own systems.
6. Payment Terms
Paid plans are billed monthly or annually in advance. Prices are per active employee. You may upgrade or downgrade at any time; changes take effect at the next billing cycle. Refunds are not provided for partial months.
7. Termination
Either party may terminate this agreement with 30 days written notice. Upon termination, you may export your data for 30 days. After that period, all data is permanently deleted in accordance with our Privacy Policy.
8. Limitation of Liability
To the maximum extent permitted by law, Pulse's total liability is limited to the fees paid in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
9. Governing Law and Dispute Resolution
IMPORTANT NOTICE — ARBITRATION AGREEMENT, CLASS ACTION WAIVER, AND JURY TRIAL WAIVER. The dispute-resolution clause below requires you to resolve disputes through individual binding arbitration rather than in court, waives your right to participate in a class, collective, or representative action, and waives your right to a jury trial. You may opt out of this arbitration agreement by sending written notice to [CUSTOMISE: opt-out email or postal address] within 30 days of first accepting these Terms. If you opt out, neither party will be bound by the arbitration provisions, but the remainder of these Terms will continue to apply. These terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved through binding arbitration in San Francisco, California.
